DIGITAL CONTRACT AGREEMENT BETWEEN OPTIMA AUTOMOTIVE AND AASPI

Digital Contract below has been read and accepted
This Digital Contract Agreement (“Agreement”) is made effective as of March 23rd 2023 by and between Optima Automotive (“Optima”) and AASP-IL (“Client”).
SERVICES TO BE PROVIDED
Optima will provide the following services to the Client:
-Creation or recreation of the website
-SEO and content development for the website
-A UI/UX overhaul to ensure user-friendly navigation
-Contact forms and membership signup forms that will sync with Stripe
-Assistance in syncing Stripe with Quickbooks
-Full-year support for any updates or changes at no extra cost
-Hosting of the website for the first year at no extra charge
PAYMENT TERMS
The Client shall pay Optima a one-time fee of $4,140 for the services described above.
HOSTING
Optima shall host the website for the first year at no extra charge. After the first year, the Client shall pay an annual hosting cost of $200.
SUPPORT
Optima shall provide the Client with full-year support for any updates or changes that may need to be made at no extra cost. Any updates or changes made after the first year will be charged at a rate of $125 per hour, billed out in 15-minute increments.
OWNERSHIP AND LICENSES
All work created by Optima, including website design, functionality, and content, shall become the property of the Client upon payment of the one-time fee. Optima hereby grants the Client a non-exclusive, non-transferable license to use such work solely for its business purposes.
CONFIDENTIALITY
Optima and the Client agree to keep confidential any information exchanged between them in connection with this Agreement and not to disclose such information to any third party without the other party’s written consent.
DISCLAIMER OF WARRANTIES
Optima makes no warranties, express or implied, with respect to the services to be provided under this Agreement, including any warranties of merchantability or fitness for a particular purpose.
LIMITATION OF LIABILITY
In no event shall Optima be liable to the Client for any indirect, consequential, special, or punitive damages arising out of or in connection with this Agreement, regardless of the form of action, whether in contract, tort, or otherwise.
